运用制度经济学的有关理论,分析了我国足球职业联赛的法人治理结构。研究发现,我国足球职业联赛法人治理结构现存的主要问题为:联赛产权不清晰,法人产权关系混乱;“内部人控制”现象突出;委托人权利缺乏保障;激励约束机制“失效”。为完善我国足球职业联赛法人治理结构,建议:明晰联赛法人产权,理顺联赛产权关系,规范法人产权制度安排;建立足球职业联盟,完善法人治理结构;健全激励约束机制,防止代理人道德风险发生;推进外部制度创新,完善联赛相关市场等。

Applying the theories of system economics, the authors analyzed the corporate governance structure of Chinese Football Professional League, and pointed out that the corporate governance structure is irrational: the property rights is disordered, the phenomena of "the inners control" is very prominent, the interests of clients cannot get adequately guaranteed, and the incentive-constraint system is ineffective, and so on. In order to perfect the corporate governance structure of Chinese Football Professional Leagues,the authors also provided some countermeasures as following:making the property rights relationship definite;introducing the professional league system and perfecting the corporation administrative structure;perfecting the incentive-constraint mechanism and preventing moral hazard of agents; promoting the outer system creation and perfecting the relevant market, etc.
